PLEASE READ THIS DISCLAIMER CAREFULLY. BY PURCHASING, ACCESSING, OR USING ANY GOOD WEATHER GUYS SERVICES, PRODUCTS, CERTIFICATES, CONTENT, WEBSITES, TEXT MESSAGES, EMAILS, OR COMMUNICATIONS, YOU AGREE TO BE BOUND BY THESE TERMS.

The Services and Sites are provided by BIRO, LLC doing business as The Good Weather Guys (the “Company,” “we,” “us,” “our,” or “Good Weather Guys”) for entertainment and novelty purposes only. You must be eighteen (18) years of age or older to purchase or use the Services. All purchases using credit cards, debit cards, PayPal accounts, or other payment mechanisms may be made only by the authorized cardholder or account holder.

By visiting, purchasing from, accessing, or using the Sites or Services, you acknowledge that you have read, understand, accept, and agree, without limitation or qualification, to be bound by these Terms. Good Weather Guys reserves the right, at its sole discretion, to change these Terms from time to time. Your continued access to or use of the Sites or Services after any change will be deemed acceptance of the revised Terms.

1. ENTERTAINMENT AND INFORMATIONAL PURPOSES ONLY

Good Weather Guys provides novelty good-luck services, certificates, weather-themed commentary, playful event messages, transactional event communications, and related content for entertainment and general informational purposes only.

Good Weather Guys is not a governmental weather service, emergency notification system, meteorological authority, public safety agency, weather-forecasting company, insurance advisor, event safety consultant, or professional event-planning service.

While we may refer to weather, weather forecasts, or weather-related events in a humorous or informational way, we do not guarantee the accuracy, completeness, reliability, availability, or timeliness of any weather information referenced or discussed.

2. NO GUARANTEE OF WEATHER CONDITIONS

Weather is controlled exclusively by Mother Nature.

Good Weather Guys does not guarantee sunshine, clear skies, dry conditions, comfortable temperatures, successful outdoor events, favorable weather outcomes, or the accuracy of any weather prediction or forecast.

Actual weather conditions may differ significantly from any forecast, information, commentary, certificate, or message provided through the Services.

Any statements on the Sites or in our communications about “weather mojo,” “good vibes,” “good weather energy,” “immaculate energy,” “sprinkle shields,” “sunshine send-offs,” or similar language are intended as humorous, novelty, and entertainment-based expressions only and should not be understood as literal representations that Good Weather Guys can control, alter, influence, or predict weather conditions.

3. NO SAFETY, EMERGENCY, OR PROFESSIONAL USE

You must not rely on Good Weather Guys for safety, emergency, travel, evacuation, aviation, marine, outdoor recreation, construction, business, insurance, legal, financial, medical, or public-health decisions.

Any decisions regarding travel, outdoor activities, weddings, sporting events, construction activities, business operations, property protection, emergency preparedness, event cancellation, or personal safety should be based on official weather sources, emergency management authorities, public safety agencies, qualified professionals, and common sense.

You acknowledge that any reliance upon information, commentary, certificates, text messages, emails, or other communications provided by Good Weather Guys is solely at your own risk.

4. LIMITED PRECIPITATION-FREE WINDOW GUARANTEE AND REFUND POLICY

Good Weather Guys is a novelty entertainment service and does not guarantee, control, alter, predict, delay, redirect, or influence the weather. However, certain Good Weather Guys purchases include a limited precipitation-free window guarantee as described in this section.

At the time of purchase, the customer must select one specific six-hour event window, including the event date, event location, and start and end time. This selected six-hour period is the only period covered by the limited guarantee.

To be eligible for the limited guarantee, the purchase must be completed at least forty-eight (48) hours before the start of the selected six-hour event window. Purchases made less than forty-eight (48) hours before the selected event window are not eligible for the limited guarantee.

If measurable precipitation occurs at the event location during the selected six-hour event window, the customer may submit a refund request. The request must include documentation from the National Weather Service website, weather.gov, showing precipitation during the selected six-hour event window at or near the event location submitted at purchase.

Refund requests must be submitted within SEVEN (7) CALENDAR DAYS after the selected event window. Requests submitted after that deadline may be denied.

Good Weather Guys is not affiliated with, endorsed by, sponsored by, or approved by the National Weather Service, NOAA, or any governmental weather agency. National Weather Service information may be delayed, unavailable, incomplete, revised, or not specific to the customer’s exact event location. Good Weather Guys retains sole discretion to determine whether submitted documentation satisfies the requirements of this policy.

If the request is approved, Good Weather Guys will provide a pro-rated refund based on the number of hours during the selected six-hour event window in which precipitation occurred. For example, if precipitation occurs during one (1) hour of the selected six-hour window, the approved refund will equal one-sixth (1/6) of the purchase price paid for that event window. If precipitation occurs during two (2) hours, the approved refund will equal two-sixths (2/6) of the purchase price paid for that event window, and so on.

In addition to any approved pro-rated refund, Good Weather Guys will provide a gift certificate for a future day of Good Weather Guys service. Gift certificates are valid for one (1) year from the date of issue, have no cash value, are not redeemable for cash, and may be subject to additional terms stated at the time of issue.

The limited guarantee applies only to qualifying precipitation during the selected six-hour window. It does not apply to clouds, overcast skies, wind, humidity, temperature, heat, cold, haze, air quality, wildfire smoke, fog, venue conditions, travel disruptions, event cancellation, vendor issues, customer dissatisfaction, changes in plans, or any condition other than qualifying precipitation documented as required by this policy.

Except for the limited precipitation-free window guarantee described in this section, all purchases are final and non-refundable to the fullest extent permitted by law.

5. ONE-TIME PURCHASES; PAYMENT TERMS

Good Weather Guys currently offers one-time purchases only and does not offer recurring subscriptions or memberships unless expressly stated at the time of purchase.

You agree to pay all fees and charges associated with your purchase according to the prices and billing terms displayed at the time of purchase. By providing a payment method, you represent and warrant that you are authorized to use that payment method and authorize us and our payment processors to charge the applicable amount.

Prices may change at any time. Any applicable taxes, payment-processing fees, or similar charges may be added where required by law or by our payment processor.

If you believe a charge was made in error, you must contact Good Weather Guys promptly and provide enough information for us to identify and review the transaction.

6. TRANSACTIONAL TEXT MESSAGE CONSENT

By providing your mobile telephone number, you consent to receive transactional text messages from Good Weather Guys related to your purchase, including confirmation messages, event-window communications, and service-related updates.

Message and data rates may apply. Transactional text messages are related to your purchase and are not marketing messages. Good Weather Guys will not use your phone number for marketing text messages unless you separately provide any consent required by law.

7. USER-SUBMITTED CONTENT, PHOTOS, TESTIMONIALS, AND SUCCESS STORIES

Good Weather Guys may collect customer photos, testimonials, reviews, event stories, names, images, likenesses, and related materials through a separate written release form.

If you submit, upload, email, text, tag, or otherwise provide Good Weather Guys with any photo, video, testimonial, review, event story, social media post, caption, comment, name, image, likeness, or other content, you represent and warrant that you own the content or have all rights, permissions, licenses, and releases necessary to provide it to Good Weather Guys and to permit Good Weather Guys to use it as described in the applicable release form and these Terms.

By submitting such content, you grant Good Weather Guys a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, reproduce, edit, adapt, publish, display, distribute, and create derivative works from the content, in whole or in part, in any media, including on websites, social media, advertising, promotional materials, emails, and other marketing channels, unless a separate written release form provides otherwise.

You are solely responsible for ensuring that any submitted content does not violate copyright, trademark, privacy, publicity, contract, or other rights of any person or entity. Good Weather Guys may edit, decline to use, remove, or discontinue use of any submitted content at any time and for any reason.

8. INTELLECTUAL PROPERTY

All Good Weather Guys names, logos, slogans, package names, certificates, designs, graphics, text, website content, images, videos, social media concepts, and other materials are owned by or licensed to Good Weather Guys and are protected by copyright, trademark, and other intellectual-property laws.

You may not copy, reproduce, modify, distribute, display, sell, resell, or create derivative works from any Good Weather Guys content except with prior written permission.

The purchase of a Good Weather Guys service does not transfer ownership of any Good Weather Guys intellectual property. Certificates and related materials are provided for personal, non-commercial use in connection with the customer’s event unless Good Weather Guys provides written permission otherwise.

9. THIRD-PARTY INFORMATION, LINKS, AND SERVICES

The Sites or Services may contain links or references to third-party websites, resources, information, platforms, payment processors, social media pages, weather information, or other content not owned or controlled by Good Weather Guys.

Good Weather Guys does not investigate, monitor, review, control, or guarantee the accuracy, completeness, timeliness, availability, legality, or appropriateness of third-party websites, third-party content, or third-party services.

Your use of any third-party website, resource, service, or information is at your own risk and may be subject to the terms and policies of the applicable third party.

10. SOCIAL MEDIA PAGES

Good Weather Guys may maintain social media pages or accounts. Comments, posts, visuals, reviews, tags, or other materials posted by visitors or users do not necessarily reflect the views of Good Weather Guys.

Good Weather Guys may, but is not required to, monitor social media activity and may remove, hide, or report content that we determine to be inappropriate, offensive, unlawful, infringing, misleading, abusive, harassing, or otherwise objectionable.

11. PRIVACY POLICY

Information you submit to Good Weather Guys may include names, email addresses, phone numbers, event dates, event locations, payment information, and other information related to your purchase or inquiry.

Your use of the Sites and Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. To the extent the Privacy Policy conflicts with these Terms regarding the collection, use, storage, or disclosure of personal information, the Privacy Policy will control.

12. RULES OF USE AND PROHIBITED CONDUCT

Your right to use the Sites and Services is personal to you. You agree to use the Sites and Services only for lawful purposes and in compliance with these Terms and all applicable laws.

You agree not to use the Sites or Services for any fraudulent, illegal, abusive, harassing, defamatory, threatening, harmful, obscene, infringing, deceptive, or otherwise objectionable purpose; not to impersonate any person or entity; not to interfere with or disrupt the Sites or Services; not to attempt unauthorized access to any system or account; not to transmit viruses, malware, or harmful code; not to scrape, copy, harvest, or data-mine the Sites without permission; and not to misuse the Services in any way that could expose Good Weather Guys, other users, or third parties to liability.

Good Weather Guys reserves the right to refuse service, cancel orders, suspend access, terminate access, deny refund requests, or take other action if we believe, in our sole discretion, that a user has violated these Terms, submitted false information, abused the refund policy, misused the Services, or engaged in conduct that may harm Good Weather Guys, other users, or third parties.

13. NO WARRANTIES

All services, content, certificates, reports, messages, communications, websites, and information are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, Good Weather Guys disclaims all express and implied warranties, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, title, and non-infringement.

No advice, information, certificate, communication, or statement, whether oral or written, obtained from Good Weather Guys or through the Sites or Services, shall create any warranty, representation, or guarantee not expressly stated in these Terms.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Good Weather Guys, BIRO, LLC, and their owners, officers, employees, affiliates, contributors, contractors, agents, representatives, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising from or relating to the Sites or Services; weather conditions; forecast inaccuracies; precipitation; event cancellations; property damage; business losses; travel disruptions; personal injuries; reliance upon any information provided by Good Weather Guys; technical interruptions; payment-processing issues; third-party websites or services; or customer-submitted content.

To the fullest extent permitted by law, the total liability of Good Weather Guys and BIRO, LLC for any claim arising out of or relating to the Sites, Services, purchases, communications, refund policy, or these Terms shall not exceed the amount the customer paid to Good Weather Guys for the specific purchase giving rise to the claim.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Good Weather Guys, BIRO, LLC, and their owners, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site or Services, your violation of these Terms, your violation of any law or third-party right, your submitted content, your event, your reliance on Good Weather Guys communications, your misuse of any Good Weather Guys materials, or any false, incomplete, or misleading information you provide.

16. DISPUTE RESOLUTION; CLASS ACTION AND JURY TRIAL WAIVER

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Sites, Services, purchases, communications, refund policy, certificates, content, or these Terms shall be resolved on an individual basis and not as part of any class, collective, consolidated, private attorney general, or representative action.

To the fullest extent permitted by law, you and Good Weather Guys waive the right to a jury trial and waive the right to bring or participate in any class action, collective action, consolidated action, private attorney general action, or representative proceeding.

Before initiating any formal legal proceeding, the party raising a dispute must provide written notice describing the dispute, the transaction at issue, the relief requested, and sufficient contact information to allow the parties to attempt to resolve the matter informally. The parties agree to make good-faith efforts to resolve any dispute informally before initiating arbitration or court proceedings.

Any arbitration procedures, forum, small-claims exception, governing law, venue, and related dispute-resolution mechanics should be finalized by legal counsel based on BIRO, LLC’s state of formation, principal place of business, and applicable consumer-protection law.

17. TERM, TERMINATION, AND CHANGES TO SERVICES

Good Weather Guys may modify, suspend, discontinue, or terminate the Sites or Services, in whole or in part, at any time with or without notice and without liability to you.

Good Weather Guys may refuse service, cancel orders, suspend access, or terminate access to any person for any reason permitted by law, including suspected fraud, abuse, misuse, violation of these Terms, or conduct that we determine may expose Good Weather Guys or others to liability.

18. FORCE MAJEURE

Good Weather Guys shall not be liable for any delay, failure, interruption, or inability to perform resulting from causes outside its reasonable control, including acts of God, severe weather, natural disasters, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications failures, payment-processor outages, governmental actions, emergencies, or other events beyond our reasonable control.

19. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to the Sites or Services shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent federal law applies.

Any court proceeding not subject to arbitration or small-claims procedures shall be brought in the state or federal courts located in Middlesex County, New Jersey, and you consent to the personal jurisdiction and venue of those courts.

20. SEVERABILITY; NO WAIVER; ASSIGNMENT; ENTIRE AGREEMENT

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision.

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Good Weather Guys may assign, transfer, or delegate its rights and obligations as permitted by law.

These Terms, together with any applicable Privacy Policy, release form, checkout terms, and posted policies, constitute the entire agreement between you and Good Weather Guys regarding the Sites and Services.

21. THE SIMPLE VERSION

We are here to make your big day more fun, more hopeful, and a little less stressful.

We send good vibes. We issue certificates. We text you to let you know the Guys are on it.

We do not control the weather. We do not replace official forecasts. We do not make safety decisions for you.

If your eligible six-hour event window gets precipitation, you may request the limited pro-rated refund described above, using National Weather Service documentation.

If we could guarantee sunshine, we would probably own an island somewhere instead of writing terms and conditions.
